Our Capabilities

We provide financial advisory services to clients in various industries including industrial products, business and industrial services, consumer, food, retail, distribution, direct marketing, energy, engineered products, financial services, e-commerce, agricultural/AgTech and industrial technologies, healthcare, manufacturing, SaaS, software, technology, and tech-enabled services.

Sell-side M&A

We represent entrepreneurs and investment groups in the sale of business interests. We also represent larger corporate clients in the divestiture of non-core divisions, subsidiaries, and product lines.

Companies in the middle market have an acute need for sound investment banking advice.  Valuable opportunities may be lost if industry research, marketing, timing, confidentiality, positioning, buyer contact, and negotiations are not handled properly.

Moreover, the sale of a business can involve varying levels of cash proceeds and retained equity interests for the selling shareholders.  We perform extensive financial modeling to help our clients decide which strategies they should pursue.

The private market for middle market M&A transactions is highly inefficient.  Yesterday’s most active strategic buyer may move to the sidelines just as a new buyer is quietly emerging.  At the same time, a financial buyer with deep experience in our client’s industry may have just raised a new fund.  Our knowledge of and access to strategic and financial buyers brings the best buyers to the table.

Additional Advisory Services include:

Buy-side M&A

When representing buyers, we provide buy-side advisory services including initial contact, valuation, deal structuring, and negotiations.

Debt Private Placements

We help our clients arrange debt financing from senior and subordinated debt providers, normally in the context of partner buyouts and related transactions.

Equity Private Placement

In select circumstances we advise clients in early-stage equity capital raises.

Analysis of Strategic Alternatives

We work with owners and boards to identify and evaluate options before they embark on a specific transaction process. We illustrate the pros and cons of strategic alliances, equity or debt recapitalizations, acquisition strategies, outright sales, and other alternatives.
